How should you choose whether to create a corporation, a Limited Liability Company (LLC), a partnership, or a limited partnership? At the Law Offices of Peter T. Stavropoulos, you are not just another entity formation to us. Each business has specific needs, and what works for one business may not be a good fit for another business. Because of that, before forming an entity, we will spend time learning about your business to better assist you in choosing the right business structure.

Before creating any entity, we are always willing to speak with your bookkeeper or certified public accountant.

The entity formation process includes:

- Determining whether the name you want to use is available, either as a corporation, LLC, or simply as a fictitious business name (doing business as, or dba) filing;

- Filing the appropriate pre-formation paperwork with the Secretary of State or county recorder’s office;

- Preparing the relevant entity records (corporate bylaws and relevant minutes, LLC operating agreement, Partnership agreement, and the like);

- If necessary, drafting and filing the “S” corporation (Form 2553) election;

- Filing the appropriate post-formation paperwork with the Secretary of State.

As a corporation or LLC, we will prepare a kit containing the incorporating documents,  certificates of membership, and any other relevant documents.  You will also receive a multi-page memorandum that discusses aspects of your new entity and business, including many tips on how to protect your business name, your business structure, and the like.
